Terms & Conditions

Notice: These Terms of Service govern your use of services provided by Taper Powell. Please read them carefully. By engaging our services, you agree to these Terms.

1. Scope of Services

Taper Powell provides professional video editing, post-production, and related creative services. This may include:

  • Video editing, assembly, and storytelling
  • Color correction and grading
  • Motion graphics and animation
  • Sound design, audio mixing, and music integration
  • Subtitles, captions, and translations
  • Final exports in required formats and aspect ratios
  • Optional add-ons such as operator filming or drone cinematography

Any services not expressly listed must be confirmed in writing before commencement.

2. Client Obligations

  • Clients must provide all assets (footage, images, logos, brand guidelines) in usable formats before work begins.
  • Clients warrant they have all necessary rights and licenses for provided materials.
  • Feedback must be consolidated through a single point of contact to avoid conflicting directions.
  • Failure to provide assets, approvals, or timely feedback may delay delivery and may incur additional fees.

3. Delivery & Revisions

  • Drafts will be delivered via secure links or shared platforms (e.g., Frame.io, Google Drive).
  • Unless otherwise agreed, projects include up to two (2) rounds of revisions limited to the original scope.
  • Additional revisions, new creative directions, or requests outside of the agreed scope will be quoted separately.
  • Delivery timelines are estimates; delays caused by the client (e.g., late feedback) extend the schedule.

4. Fees & Payments

  • Fees are set out in project proposals, order confirmations, or invoices issued by Taper Powell.
  • All fees are in U.S. dollars and subject to applicable state and federal taxes.
  • A deposit may be required before work begins; such deposits are non-refundable once work commences.
  • Invoices are due within 14 calendar days unless otherwise specified.
  • Late payments may incur interest at the maximum rate permitted by Oklahoma law and collection costs.

5. Refunds & Cancellations

  • Projects canceled after commencement will be billed for all work completed and any committed third-party costs (e.g., stock media).
  • No refunds will be given for completed work or delivered services.
  • Filming services canceled due to weather or venue issues will be rescheduled subject to availability.

6. Intellectual Property

  • Upon full payment, the client is granted a non-exclusive, non-transferable license to use the final deliverables for the agreed purpose.
  • All working files, raw footage, project files, and intermediate materials remain the property of Taper Powell unless otherwise agreed in writing.
  • Taper Powell reserves the right to use non-confidential deliverables in its portfolio, website, or marketing unless the client objects in writing before project commencement.

7. Confidentiality

Both parties agree to keep confidential all proprietary information disclosed during the project. This obligation survives termination of the agreement. Disclosure may be made if required by law.

8. Data Protection

Taper Powell will process any personal data in compliance with applicable U.S. and Oklahoma privacy laws. The client is responsible for ensuring that any personal data provided (including in footage) is lawfully collected and shared.

9. Warranties & Disclaimer

  • The client warrants that provided materials are lawful and do not infringe third-party rights.
  • Taper Powell warrants services will be delivered with reasonable care and professional skill.
  • Except as expressly stated, all other warranties (express or implied) are disclaimed to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Taper Powell liability for any claim shall not exceed the total fees paid for the specific project giving rise to the claim. Taper Powell shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, reputation, or opportunities.

11. Force Majeure

Neither party shall be held liable for delays or non-performance due to causes beyond reasonable control, including natural disasters, power outages, labor disputes, governmental actions, or network failures.

12. Term & Termination

  • These Terms apply from the date the client engages our services until completion of the project.
  • Either party may terminate the agreement immediately upon material breach by the other party.
  • Provisions concerning confidentiality, intellectual property, and limitation of liability survive termination.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Oklahoma, United States. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Oklahoma City, Oklahoma.

14. Changes to These Terms

Taper Powell may update these Terms from time to time. Changes take effect upon posting. Clients are encouraged to review them regularly. Continued engagement after changes constitutes acceptance of the updated Terms.
